Biography
LiLing serves as chair of the U.S. Emerging Growth & Venture Capital Group, and focuses on debt and equity financing transactions, mergers and acquisitions, and general corporate counseling. In her emerging companies practice, she provides exit strategy planning while looking after the full spectrum of a client's legal needs. She represents first-time and experienced investors as well as early-stage companies.
She has closed deals involving parties in the U.S., Asia, Europe, and Australia, and represented clients across the health care, technology, life sciences, and food and beverage industries.
Recently recognized by The Legal 500 USA as a 2018 and 2019 Next Generation Lawyer for Venture Capital and Emerging Companies, LiLing has been praised for her ability to “reduce complex problems to solutions quickly” through her “emotional intelligence” and “ability to communicate potential solutions concisely and in common language.”
EXPERIENCE
- Represented multiple physician groups and their management companies in their sale to a private equity group.
- Represented a private equity fund in the acquisition of a group of physical therapy/occupational therapy clinics and the subsequent disposition of those clinics.
- Represented a German venture capital fund in the flip conversion of a German Company into a US Company and assisted in subsequent financings.
- Represented Sofie Biosciences Inc. in its acquisition of Zevacor Pharma, a leading developer, manufacturer and distributor of PET radiopharmaceutical products and supporting services.
- Represented a health services company in its $120M acquisition of an independent physician association with more than 400 doctors and its affiliated management company.
- Represented a healthcare organization in a joint venture with a publicly traded health services company to operate a network of healthcare facilities with an enterprise value of $150M.
- Assisted a publicly traded healthcare company in a joint venture with a faith-based healthcare organization to operate a network of healthcare facilities with an enterprise value of $970M.
- Represented an international brewing company in its $250M acquisition of a U.S. brewery as well as reorganization of the target’s corporate structure post-closing.
- Represented a mobile commerce company primarily based in Korea in a $73M convertible bond financing.
- Represented a biopharmaceutical company in a $25M Series C financing and a subsequent $20M Series D financing.
- Represented a healthcare analytics company in a $10M Series B financing.
- Represented a technology forecasting company in a $11M Series A financing.
