This course will primarily focus on Delaware "C-Corps" (companies incorporated in Delaware electing subchapter 'C' taxation), but we will also touch on other types of corporations and LLCs and other states. This is a primer for those looking to support current corporate clients on maintenance and governance as well as attorneys seeking to expand their practice to include corporate governance. This is an overview of what is required and how to help keep your corporate clients compliant and in good 'corporate hygiene'.
Learning Objectives:
Identify what is required for annual corporate governance and good hygiene
Review board meeting requirements and discuss management of a board meeting including a template agenda and proper minute etiquette; understand the role of a corporate secretary
Prepare board, shareholder, or member consents and resolutions and understand when and how to use each
Discuss tangential items such as management of ownership via capitalization tables and member schedules, maintaining a minute book, and how to compile documents for diligence or a data room
